1. Introduction

These Terms of Service ("Terms") govern your use of the app "oblivious" (the "app") provided by KMNGY Inc. ("we," "us"). Please review these Terms before using the app. By starting to use the app, you agree to these Terms.

2. About the app

oblivious lets you weave moments from your photos and videos into a film and add a soundtrack. We do not collect the contents of your photos, videos, or text on our servers. See our Privacy Policy for details.

3. Eligibility

To use the app, you must be able to validly agree to these Terms. If you are a minor, you must have the consent of a parent or legal guardian.

4. Your content

Rights in the photos, videos, films, and text you work with in the app remain with you or their respective rights holders. We do not acquire ownership or other rights in them through your use of the app. They are processed and stored on your device, and we do not collect them on our servers. When you generate a soundtrack, what is sent to our server is not the contents of your photos, videos, or text, but an abstract description of the film (numbers, on/off values, and mood words from a fixed vocabulary), together with anonymous identification data used to manage the monthly generation limit and prevent unauthorized use. 5. Use of generated soundtracks

You may incorporate soundtracks generated in the app into films you create with the app and save, publish, and share those films for commercial or non-commercial purposes. To the extent we hold any rights in a generated soundtrack or are authorized to license such rights, we grant you a royalty-free, non-exclusive license to use it for those purposes.

Generated soundtracks are not necessarily exclusive to you, and the same or similar output may be generated for other users. When using a generated soundtrack, you must comply with applicable law and respect the rights of others.

6. Prohibited conduct

When using the app, you must not:

  • Act in violation of applicable law or public policy;
  • Use the app, or publish or share a film you create, in a way that infringes the copyright, likeness, privacy, or other rights of third parties;
  • Gain unauthorized access to, overload, or automate abuse of the app, the servers used to provide it, or the soundtrack generation infrastructure;
  • Attempt to circumvent usage limits.

We may restrict or suspend use of the soundtrack generation feature, to the extent necessary, if we reasonably believe that a violation of these prohibitions has occurred or may be occurring.

7. Soundtrack generation and usage limits

The soundtrack generation feature uses an external generative-music service that we contract with. As a result, we may change, restrict, or suspend the feature due to outages, changes to the service or its specifications, or discontinuation of the service. To keep the feature fair and to manage costs, generation is subject to a monthly limit and other restrictions. These limits and other restrictions may change based on service usage, costs, or other operational needs. Material changes will be announced in advance except where urgent action is required.

8. Changes, suspension, and termination of the app

We may change the app, or suspend or discontinue all or part of it, where necessary for improvement, maintenance, security, changes to the external services we use, or other reasons. For changes or discontinuation that materially affect users, we will provide advance notice within the app, on our website, or by other appropriate means, except in urgent cases.

9. Intellectual property

Intellectual property rights in the app itself and in the designs, logos, presets, and other materials we provide belong to us or to their rightful owners. You may use the app within the scope of these Terms and applicable law.

10. Disclaimer of warranties

The app is provided "as is." We do not warrant that it will operate without interruption, be error-free, or be fit for a particular purpose. We make no warranty as to the content or quality of generated soundtracks, or that they will match your intent or the content of your film.

11. Limitation of liability

To the maximum extent permitted by applicable law, we are not liable for any indirect, incidental, or consequential damages, or lost profits, arising from your use of or inability to use the app. This does not apply to liability arising from our willful misconduct or gross negligence, or to any liability that cannot be excluded under the Consumer Contract Act or other mandatory law.

12. Changes to these Terms

We may change these Terms where necessary due to changes in law, changes to the app's features, or otherwise, taking into account the necessity and reasonableness of the change. When we do, we will give advance notice of the content of the change and its effective date within the app, on our website, or by other appropriate means. The revised Terms will apply from the effective date stated in the notice. For changes that require your consent under applicable law, we will obtain that consent separately.

13. Governing law and jurisdiction

These Terms are governed by the laws of Japan. Any dispute relating to the app shall be subject to the exclusive jurisdiction of the Tokyo District Court or the Tokyo Summary Court as the court of first instance. However, this does not deprive you of any protection available under the mandatory laws of your country of residence.
